1. Introduction
These Terms govern your use of the Rozzo Vendor App ("Rozzo Business"). By registering, you agree to these terms as an independent business entity partnering with Paralane Innovations, located in Vapi, Gujarat.
2. Vendor Obligations
- Independence: You are an independent contractor. Rozzo does not supply goods or mediate disputes.
- Compliance: You are fully responsible for product quality, hygiene, safety, pricing accuracy, GST compliance, and local legal requirements.
- Prohibited Items: You must not sell illegal items, drugs, weapons, counterfeit goods, or unlicensed medicines.
- Marketing Rights: You grant Rozzo permission to use your shop photos, logo, and testimonials for marketing purposes.
3. Fees & Payments
- 5.1 Platform Role in Payments
Rozzo is a technology-enabled platform that facilitates transactions between customers and independent third-party vendors (“Vendors”). Rozzo does not provide, sell, or deliver goods or services listed on the platform.
- 5.2 Payment Methods
Customers may choose to make payments either directly to the Vendor or through online payment methods made available on the Rozzo platform via authorized payment gateways, depending on the service and phase of rollout.
- 5.3 Online Payments
When customers choose to pay through the Rozzo platform, payments are processed using RBI-authorized payment gateways. Amounts collected through the platform are settled to the respective Vendors after deduction of applicable platform service fees, taxes, or charges, in accordance with agreed settlement cycles, payment gateway policies, and applicable laws.
Rozzo does not control or guarantee the timelines of settlements, which are subject to banking and payment gateway processes.
- 5.4 Pricing & Platform Fees
The total payable amount displayed at checkout may include:
(a) Charges for services or products provided by the Vendor, and
(b) Applicable platform service fees charged by Rozzo for facilitating the transaction and providing technology services.
Platform service fees, where applicable, are charged separately for platform usage and facilitation.
- 5.5 Refunds & Cancellations
Refunds, cancellations, and service-related disputes are governed by the policies of the respective Vendor.
In case of cancellation, non-delivery, or service-related issues, customers may raise a request through the Rozzo platform. Refunds, if approved by the Vendor, will be processed through the original payment method within a reasonable time frame, subject to payment gateway and banking timelines.
Platform service fees, once charged, may be non-refundable unless explicitly stated otherwise.
- 5.6 Liability Disclaimer
Rozzo acts solely as a facilitator for payments and shall not be responsible for:
- Service quality, quantity, or delivery failures by Vendors
- Refund rejections or delays caused by Vendors
- Delays caused by banks or payment gateway systems
All refund and service-related liabilities rest solely with the respective Vendor.
4. Liability & Indemnity
Rozzo is not liable for losses, delivery failures, customer disputes, or downtime. You agree to indemnify Rozzo against any claims arising from your actions, products, or services.
5. Account Suspension & Deletion
5.1 Suspension by Rozzo
Rozzo may suspend your account for fraud, misuse, selling illegal goods, non-payment of fees, or excessive customer complaints. Fake delivery confirmations will lead to immediate suspension.
5.2 Account Deletion (Vendor Request)
If you wish to terminate your partnership and delete your account, you may do so via:
Method 1: In-App Deletion
- Log in to the VendorHub App.
- Navigate to Menu > Delete Account.
- Confirm the action to remove your business profile.
Method 2: Website Deletion
- Visit: Click Here.
- Select "Vendor App".
- Enter your registered mobile number and validate the OTP.
- Your account will be queued for deletion immediately.
6. Privacy Policy (Vendor)
6.1 Data Collection
We collect Vendor KYC, shop photos, pricing, delivery logs, and vendor-added customer data.
6.2 Data Ownership
- Vendor-Added Data: Customer data you add manually remains private to you. We do not share this with other vendors.
- App Users: If a customer downloads the Rozzo App, they become a platform user and may view other vendors.
6.3 Data Retention
Vendor data is retained while the account is active. Deleted accounts are retained for 180–365 days for legal and financial auditing compliance.
6.4 Mandatory Purpose Strings
- Camera & Photos: Used to upload shop photos, product catalog images and profile pictures.
- Location Usage: Used to show your business to nearby customers.
- Contacts Usage: Allow this app to access your contacts. We use your contacts to allow you to add customers from your contact list to your ledger; this data is processed locally and is not uploaded via API.
- Push Notifications: Allow this app to send you notifications. We use this permission to send you instant alerts when new orders are placed or when an order status changes.
6.5 Master Catalogue Disclaimer & Vendor Responsibility
- Rozzo may provide access to a master product catalogue for reference and convenience purposes only. This catalogue is a generic listing intended to help vendors quickly add products to their own catalogue.
- Rozzo does not guarantee the accuracy, completeness, or correctness of any product information included in the master catalogue, including but not limited to product name, description, category, sub-category, brand, variant, unit, MRP, price, images, or any other related details.
- It is the sole responsibility of the vendor to carefully review, verify, and correct all product details before copying or publishing any product to their own catalogue. Vendors must ensure that all information displayed to customers is accurate, lawful, and compliant with applicable regulations.
- Rozzo shall not be liable for any loss, dispute, misrepresentation, pricing error, regulatory issue, or customer complaint arising from incorrect or unverified product information added by the vendor from the master catalogue.
7. Dispute Resolution
All disputes are subject to the exclusive jurisdiction of the courts in Vapi, Gujarat.
